| Vacation |
 |
| Upon completion of the first
6 months of employment, employees receive 5 days of vacation.
Additional vacation time thereafter is accrued as per the company
policy. Beginning with the fifth year, employees receive one
additional day per year up to a maximum of 25. |

| Holidays |
 |
| American National observes
New Year's Day, Good Friday, Memorial Day, Independence Day, Labor
Day, Thanksgiving and the day after, and both Christmas Eve and
Christmas Day as paid holidays. |

| Group Insurance |
 |
| Health |
| The Company pays for 70%
of the total cost for employee and dependent coverage. Coverage is
provided through a Preferred Provider Network. You may choose one
of three available health plan options. The premium is based upon
deductibles (both in network and out of network), stop-loss
amounts, doctor office co-pay, etc. Included with this program is
prescription drug service that requires a payment of only $10.00
for generic drugs or $20.00 where a generic drug is not available. |

| Life |
| Coverage amount is two times
salary up to a maximum of $100,000. The employee does not
contribute toward the cost. An optional term policy for higher
amounts of coverage is available with cost paid by the employee. |

| Accidental Death and
Dismemberment |
| This coverage is provided at
no additional cost to the employee and provides protection in the
event of accidental death or loss of hand, foot or eye. |
| |
| Short-term Disability
Income |
| Coverage is provided for up
to six months in the event of the employee sustaining an injury or
illness that is not work related. |
| |
| Long-term Disability |
| Provided at no cost to the
employee after completion of two years of service. |

| Other Insurance |

| This is an individual life
insurance product that can be purchased by the employee which
provides substantial savings for the employee. |

| Dental and Vision |
| These are group discount
programs that employees may participate in if they wish to do so.
All costs are paid by the employee. |

| Telemedicine |
 |
| Home office employees who are
covered by American National Group Health Insurance with PPOnext
are eligible to see a health care provider with UTMB via
Telemedicine in the Wellness Center. |
|
|
| Sick Leave |
 |
| Sick days may be accumulated
up to a maximum of 90 days. |
|
|
| Investments |
 |
| Securities Management and
Research, Inc., a broker-dealer and a wholly-owned subsidiary of
American National, allows employees to buy shares in their mutual
funds at Net Asset value on a payroll deduction basis. |
|
|
| Section 125 Cafeteria Plan |
 |
| For those employees who may
be paying a portion of their health or dental insurance premium, it
is possible to pay that amount with pre-tax dollars. This means
that you do not have to pay federal income or social security taxes
on the premium amounts. Flexible Spending Accounts for Healthcare,
Dependent Care and Mass Transit expenses are available under
section 125 of the cafeteria plan for qualified expenses. |

| Retirement Plan |

| Employees are eligible upon
completion of at least one year of employment and reaching age 21.
The full cost is provided by the company. |

| 401(k) |
 |
| In addition to the retirement
plan, employees have the option of participating in our 401(k)
plan. Employee contributions are not subject to current federal
income tax. This is an excellent way to accumulate supplemental
retirement income in addition to our retirement plan and Social
Security benefits. |

| Dining Facilities |
 |
| American National's Home
Office Building contains a Cafeteria and Dining Room. Both are
located on the 19th floor and offer a spectacular view of the city.
Meal costs are subsidized by the company to reduce overall costs. |

| Direct Deposit |
 |
| We offer employees the option
of having checks deposited directly to their account at the bank of
their choice. |
|
|
| Employee Assistance Program |
 |
| Personal difficulties may
create problems which adversely impact job performance and others.
Recognizing this, American National offers employees an Employee
Assistance Program. The EAP provides confidential help with a
variety of problems, such as family or mental stress, legal,
financial, substance abuse, and others, at no charge. |

| Company Functions |
 |
| American National sponsors
various employee activities such as golfing, volleyball, and
bowling leagues. Participation is voluntary and the Company pays
part of the cost. |

| Performance Reviews |
 |
| Performance is normally
reviewed at the end of each employment year, however, some of our
training programs allow for reviews at six-month intervals. During
these reviews, you and your supervisor will discuss goals for your
position and how you can best achieve those goals. The amount of
the increase varies with individual performance. |

| Training and Educational
Reimbursement |

| Various classes are provided
periodically for employees so they can continue to develop their
skills. In addition, several industry related programs are offered
to employees. A tuition reimbursement program is also available to
those who are working on a graduate or undergraduate degree. |
