American National registered its common stock under Section 12(b) of the Securities Exchange Act of 1934 (the "Act") on July 21, 2009. As an insurance company regulated by and reporting to the Texas Department of Insurance, American National was exempt from periodic filings with the Securities and Exchange Commission (the "SEC") under Section 12(g)(2)(G) of the Act prior to such time. As a result of this exemption, American National did not make the traditional "10-K", "10-Q" and similar SEC filings associated with most public companies. Public disclosure of information was made through press releases, quarterly reports, and annual stockholder reports.
